Job Description

Key Responsibilities:

Drafting, reviewing, and negotiating a wide range of corporate agreements (e.g., purchase agreements, shareholder agreements, operating agreements, etc.)
Advising clients on mergers and acquisitions, securities, joint ventures, and corporate governance matters
Conducting due diligence and coordinating with clients, accountants, and other professionals
Providing counsel on corporate formation, compliance, and regulatory issues
Managing client relationships and maintaining regular communication
Assisting with deal structuring and advising on tax and regulatory implications
Working as part of a team to support clients through all stages of transactions

Qualifications:

Juris Doctor (JD) degree from an accredited law school
2-8 years of experience in corporate transactional law, preferably in mergers and acquisitions, private equity, or related areas
Strong knowledge of corporate governance, business law, and securities regulations
Excellent drafting and negotiation skills
Strong analytical and problem-solving abilities
Ability to work in a fast-paced, deadline-driven environment
Exceptional communication and interpersonal skills
Active membership in the Pennsylvania Bar

Preferred Skills:

Experience working with middle-market clients
Familiarity with industry-specific regulations and compliance issues
Fluency in a second language (e.g., Spanish) is a plus
